Terms of Service

1. Introduction

1.1

Welcome to GoCohort a Service of GoCohort GmbH. GoCohort provides a software platform and services for managing digital marketing campaigns on various platforms. By using the service of GoCohort, you agree to these Terms of Service. In the following text we use the term "we" and "GoCohort" to refer to GoCohort GmbH and the term "you" to refer to the client.

3.1

Users must be 18+ and provide accurate information.

3.2

You are responsible for maintaining the confidentiality of your login credentials.

3.3

You agree not to use our services for illegal or prohibited activities.

4. User Content, Prohibited Use, and Responsibility

4.1

User-Generated Content Responsibility

You are solely and fully responsible for all content, data, materials, and information ("User Content") that you create, upload, publish, transmit, or otherwise make available through the GoCohort platform, including but not limited to websites, funnel pages, advertisements, texts, images, videos, tracking scripts, and external links.

GoCohort does not assume any responsibility or liability for User Content and does not guarantee its legality, accuracy, or compliance with applicable laws or third-party rights.

4.2

Prohibited Content and Activities

You agree not to use the GoCohort platform for any unlawful, fraudulent, misleading, harmful, or prohibited purposes. In particular, you must not create, publish, or distribute User Content that:

violates any applicable local, national, or international law or regulation;
infringes intellectual property rights, personality rights, privacy rights, or other rights of third parties;
is fraudulent, deceptive, misleading, or constitutes unfair commercial practices; promotes or facilitates illegal products, services, or schemes;
contains malware, spyware, or any harmful or disruptive code;
violates advertising policies of third-party platforms (including but not limited to Meta/Facebook policies), where such violation may expose GoCohort to risk or liability.

This list is non-exhaustive.

4.3

No Legal Review or Monitoring Obligation

GoCohort is not obligated to proactively monitor, review, or verify User Content for legal compliance. The absence of moderation or review does not constitute approval, endorsement, or assumption of liability by GoCohort.

4.4

Indemnification

You agree to indemnify, defend, and hold harmless GoCohort GmbH, its directors, officers, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

your use of the platform;
your User Content;
any violation of these Terms of Service;
any violation of applicable laws or third-party rights by you.

This applies in particular to claims arising from unlawful, fraudulent, or prohibited content published by you.

4.5

Removal and Suspension Rights

GoCohort reserves the right, at its sole discretion, to remove, block, or restrict access to User Content and/or suspend or terminate your account if GoCohort becomes aware of content or conduct that violates these Terms, applicable law, or poses legal or reputational risk to GoCohort—without prior notice where legally permissible.

5. Payment and Billing

5.1

Payments are processed securely via Stripe.

5.2

All prices are listed in EUR and may be subject to VAT.

5.3

Subscription renewals are automatic unless cancelled before the billing date.

5.4

No refunds except as required by law.

6. Facebook Integration

6.1

You may use our platform Meta APIs and adheres to their policies.

6.2

You authorize us to manage and post Facebook/Instagram ads on your behalf if you connect your Facebook Business Manager account to our platform.

7. Affiliate Advertising

7.1

Commission Structure

How affiliate commissions are earned and tracked

We may offer commissions through tracked affiliate links.

7.2

Fraudulent or self-referrals will result in termination of affiliate earnings.

7.3

The affiliate who refers the customer to GoCohort will receive a commission for the sale of the product or service.

7.4

The affiliate will not receive a commission for the sale of the product or service if the customer has already purchased the product or service from GoCohort before the affiliate referred the customer.

7.5

The affilate will return the commission if the customer cancels the subscription within the first 14 days.

8. Intellectual Property

8.1

Our platform, logos, and all content remain our intellectual property.

8.2

You retain rights to your ad creatives and campaign data.

9. Termination

9.1

We may suspend or terminate access for violations of these terms.

9.2

You can cancel anytime via your dashboard.

10. Limitation of Liability

10.1

We are not liable for any damages resulting from Facebook policy changes, ad disapprovals, or business losses.

10.2

Use of the platform is at your own risk.

11. General consulting services

11.1

GoCohort provides the client with general consulting services. In delivering these services, GoCohort is solely obligated to provide advice to the best of its knowledge and belief and—where applicable—based on current knowledge and the state of the art. The consulting services constitute a service contract within the meaning of Sections 611 et seq. of the German Civil Code (BGB).

12. Hosting of Funnel Pages (Product centered websites)

12.1

If GoCohort creates a funnel page for the client, it will also offer hosting services for that funnel page.

12.2

The availability of the servers used to host the funnel page shall be at least 99% on the average running time of the corresponding ad that serves the traffic of the funnel page. This excludes periods during which the servers are unavailable due to events beyond the provider’s control (e.g., force majeure, actions by third parties, technical issues). The liability provisions of these Terms and Conditions remain unaffected.

12.3

The client has no entitlement to the assignment of a fixed IP address for the hosted funnel page unless otherwise agreed. GoCohort reserves the right to make changes to the technical infrastructure or implement legal adjustments as necessary.

12.4

GoCohort does not conduct proactive reviews of the content on hosted funnel pages. However, if GoCohort becomes aware of any prohibited content, it will assess the situation and take appropriate action. Clients are encouraged to report potentially problematic content without delay.

12.5

The client remains solely responsible for the legality of the hosted content at all times.

13. Copyright of ad materials

13.1

If the client provides GoCohort with texts, images, or other content, the client is responsible for ensuring that such content does not infringe upon the rights of third parties (e.g., copyrights) or violate any legal provisions. In this context, it is noted that GoCohort is not legally permitted to provide legal advice to the client. In particular, GoCohort is neither obligated nor legally able to review the client’s business model and/or the works created or acquired by the client (such as layouts, graphics, texts, etc.) for compliance with applicable laws. GoCohort will specifically not conduct trademark searches or other checks for potential conflicts with intellectual property rights in relation to the works provided by the client. To the extent that the client issues specific instructions regarding the work to be produced, the client assumes full responsibility for such instructions.

14. Right of Withdrawal and Refund Conditions

14.1

GoCohort provides its services to business customers (B2B). Refunds, returns, and warranty claims are handled in accordance with the applicable legal provisions of the jurisdiction concerned. Consumer (B2C) return rights do not apply.

15. In App Currencies

15.1

Users do not have the option to exchange in app currencies to real money.

15.2

We reserve the right to change the value of the in app currencies at any time.

15.3

We reserve the right to correct falsely earned in app currencies.

16. Website Connection

16.1

If you decide to connect a Website to GoCohort you give your consent that you rightfully own the website or have the consent of the actual owner of the website. We will analyze the website to prefill the most valuable information for you and your campaign.

17. Advertising Performance Disclaimer

17.1

GoCohort does not provide any assurance, warranty, or guarantee of commercial success, economic outcome, or specific performance results in connection with the use of the Application or any advertising activities conducted via third-party platforms, including but not limited to Google, Meta (Facebook/Instagram), or comparable providers.

17.2

Any information, projections, benchmarks, or illustrative examples relating to potential advertising performance are provided solely for explanatory purposes and shall not be construed as a binding commitment, guarantee of success, or legally enforceable promise within the meaning of §§ 133, 157, or 311 BGB.

17.3

The effectiveness and results of advertising campaigns depend on a variety of external factors that are beyond the Company’s control, including but not limited to market conditions, competitive environment, target audience behavior, budget decisions, creative content, platform-specific algorithms, and changes to the policies or technical systems of third-party providers.

17.4

To the maximum extent permitted under applicable European Union and German law, the Company shall not be liable for the absence of expected results, loss of revenue, reduced advertising effectiveness, or any indirect or consequential damages arising from or in connection with advertising measures executed using the Application or through third-party advertising services.

17.5

Nothing in this disclaimer shall limit or exclude liability in cases of intent, gross negligence, injury to life, body or health, or mandatory liability under applicable statutory provisions.

18. Auto-Mode Service Package

18.1

Scope of Auto-Mode

The Auto-Mode Service Package ("Auto-Mode") is a managed service under which GoCohort handles the creation of advertising creatives, landing pages, and data-driven campaign optimization on behalf of the client. The specific scope of services is determined by the applicable subscription tier.

18.2

Monthly Deliverable Caps

Unless otherwise agreed in writing, the following deliverable caps apply per billing cycle:

- Up to 2 landing pages in A/B testing
- Up to 5 minor revisions
- Up to 10 static ad creatives
- 2 short-form videos OR 1 done-for-you video edit (mutually exclusive)
- 1 success call

18.3

Setup Timeline

GoCohort will commence service delivery within a maximum of 7 business days following the completion of the client onboarding process.

18.4

No Carry-Over of Unused Deliverables

Unused deliverables do not carry over to subsequent billing cycles. Any deliverables not utilized within a given billing cycle expire at the end of that cycle without compensation or credit.

18.5

Excess Requests

Any requests exceeding the monthly deliverable caps require a separate written agreement between GoCohort and the client and may incur additional fees.

18.6

Definition Authority

GoCohort retains sole discretion to determine what constitutes a "minor revision" as opposed to a new deliverable. This classification is final and binding.

18.7

No Guaranteed Outcome

The Auto-Mode Service Package does not guarantee any specific commercial, economic, or performance outcome. The Advertising Performance Disclaimer (Section 17) applies in full to all services rendered under Auto-Mode.

18.8

Minimum Contract Duration and Early Cancellation

The Auto-Mode Service Package has a minimum contract duration of 3 months from the date of subscription activation. If the client cancels the Auto-Mode subscription before the expiry of the 3-month minimum term, the client shall be liable for an early cancellation fee equal to the difference between the total fees that would have been payable for the full 3-month minimum term and the fees already paid up to the date of cancellation.
